On May 1st, 2026, the Supreme People's Court and the Supreme People's Procuratorate of China officially implemented the Interpretation (II) on Several Issues Concerning the Application of Law in Handling Criminal Cases of Bribery and Embezzlement. This Judicial Interpretation is one of the most influential documents in the field of duty-related crimes over the past decade, marking the official entry of China's internal governance of corruption in private enterprises into an era of "parallel standards for public and private sectors", criminal acts by personnel of private enterprises (including foreign-invested enterprises) are now subject to the same standards of conviction, sentencing, and confiscation of illegal gains as those applied to state-owned enterprises. As a result, the criminal compliance risks for private enterprises operating in China (including foreign-invested enterprises) have significantly increased.


This seminar is jointly organized by the Benelux Chamber of Commerce and JunZeJun Law Offices (Shanghai), and we are honored to invite Mr. Wang Zhengyang, Senior Partner of JunZeJun Law Offices, as the keynote speaker. Mr. Wang has extensive experience in the field of foreign investment and has long provided legal services to foreign-invested enterprises in China. He is well-versed in the compliance pain points and practical challenges faced by multinational corporations operating in China. Mr. Wang will systematically outline the core changes introduced by the new Interpretation, focusing on the weak links in compliance management of European enterprises in China, helping companies identify risks and build robust defenses.

  • Legislative Background and Overall Direction: Why was Interpretation (II) issued?
  • Four Core Changes:
  • Parallel sentencing standards for public and private sectors, significantly lowering the threshold for criminal liability;
  • Equity, stock options, and other expected benefits are explicitly included within the scope of bribery;
  • Commingling of public and private property may cause unit bribery to be pierced as individual bribery, with the sentence jumping from five years to life imprisonment;
  • Four-tier progressive confiscation of illegal gains, allowing for the seizure of equivalent value of legal property even if the original asset is no longer available.
  • Corporate Compliance Action Recommendations: Revision of internal policies, review of key positions, screening of external shareholdings, strict separation of public and private accounts, and establishment of effective internal control defenses.
